In practice, the vast majority of newly incorporated companies choose the private form, as public companies are subject to considerably more demanding regulatory and capital market requirements.<\/p>\n<p style=\"font-weight: 400;\"><strong>Why Do Businesses Choose a Company Limited by Shares?<\/strong><\/p>\n<p style=\"font-weight: 400;\">One of the key advantages of a company limited by shares is its suitability for raising capital and accommodating investors. Unlike businesses that are primarily built around the personal involvement of their owners, a company limited by shares is fundamentally capital-oriented: it is designed to facilitate the pooling of capital and the transfer of ownership through shares.<\/p>\n<p style=\"font-weight: 400;\">The availability of the required share capital is one of the most important prerequisites for incorporation. For a private company limited by shares (Zrt.), Hungarian law requires a minimum share capital of\u00a0<strong>HUF 5 million<\/strong>\u00a0(approximately\u00a0<strong>EUR 14,000<\/strong>). In addition, the required share capital must be made available to the company.<\/p>\n<p style=\"font-weight: 400;\">The capital contribution process differs somewhat from the incorporation of a limited liability company. Founders are required to make available at least the statutory minimum share capital and provide evidence that the contribution has indeed been deposited.<\/p>\n<p style=\"font-weight: 400;\">Unlike procedures where legal counsel may merely verify declarations regarding capital contributions, the incorporation of a company limited by shares generally requires confirmation from the payment service provider or bank that the relevant amount has been paid.<\/p>\n<p style=\"font-weight: 400;\">In practice, banks often open a temporary\u00a0<strong>technical account<\/strong>\u00a0for incorporation purposes. Once the founders deposit the required capital into this account, the bank issues a certificate confirming that the share capital is available and has been duly paid. This certificate forms an essential part of the incorporation process, as registration cannot be completed without satisfactory proof that the statutory capital requirement has been fulfilled.<\/p>\n<p style=\"font-weight: 400;\">Besides fulfilling the share capital requirements, founders should also budget for the official incorporation costs. The court registration fee for establishing a private company limited by shares (Zrt.) is currently\u00a0<strong>HUF 100,000<\/strong>\u00a0(approximately\u00a0<strong>EUR 250-260<\/strong>), payable in addition to legal and administrative expenses. In some cases, the tax authority issues the tax number within a single business day, while in others the process may take up to one week.<\/p>\n<p style=\"font-weight: 400;\">Company registration itself is often remarkably efficient. In Budapest, we have seen companies registered by the Court of Registration within as little as two to three business days following submission of the incorporation documents.<\/p>\n<p style=\"font-weight: 400;\">Importantly, a company does not have to wait for its final registration before commencing certain activities.
