{"id":56014,"date":"2019-09-18T10:56:02","date_gmt":"2019-09-18T08:56:02","guid":{"rendered":"https:\/\/www.nzp.de\/?p=56014"},"modified":"2026-09-01T11:00:31","modified_gmt":"2026-09-01T09:00:31","slug":"german-federal-court-of-justice-bgh-managing-directors-of-a-german-gmbh-do-not-owe-a-duty-of-loyalty-to-the-gmbhs-creditor","status":"publish","type":"post","link":"https:\/\/www.nzp.de\/es\/tribunal-federal-de-justicia-de-alemania-bgh-los-administradores-de-una-gmbh-alemana-no-tienen-el-deber-de-lealtad-hacia-los-acreedores-de-la-sociedad\/","title":{"rendered":"Tribunal Federal de Justicia de Alemania (BGH): Los administradores de una GmbH alemana no tienen un \u201cdeber de lealtad\u201d para con los acreedores de la GmbH"},"content":{"rendered":"<p>En su sentencia dictada el 7 de mayo de 2019, el Tribunal Federal de Justicia alem\u00e1n (Bundesgerichtshof, BGH) dictamin\u00f3 que no es posible interponer con \u00e9xito una demanda por da\u00f1os y perjuicios contra el director general de una GmbH (sociedad de responsabilidad limitada alemana) en virtud del art\u00edculo 826 del C\u00f3digo Civil alem\u00e1n (BGB) por causar da\u00f1os de forma intencionada y contraria a la moral p\u00fablica.<\/p>\n<div>\n<p>En los casos de da\u00f1os indirectos, la responsabilidad por da\u00f1os y perjuicios solo puede surgir cuando la conducta contraria a la moral p\u00fablica se dirija contra la parte que realmente ha sufrido el perjuicio. Sin embargo, para ello debe existir alg\u00fan tipo de relaci\u00f3n jur\u00eddica entre el tercero externo y el director general, en el marco de la cual pueda haberse incumplido una obligaci\u00f3n legal.<\/p>\n<p>Aunque un administrador tiene la obligaci\u00f3n de garantizar la correcta gesti\u00f3n de la GmbH, este deber lo tiene para con la propia GmbH y no para con terceros externos. Por consiguiente, un administrador no incurre en obligaciones personales frente a terceros por el mero hecho de ocupar su cargo en la GmbH.<\/p>\n<p>En consecuencia, el BGH reafirm\u00f3 en su sentencia que la obligaci\u00f3n del administrador de garantizar el funcionamiento l\u00edcito y adecuado de una GmbH existe \u00fanicamente en la relaci\u00f3n entre el administrador y la sociedad.
