7 May\u0131s 2019 tarihinde verdi\u011fi kararda, Almanya Federal Yarg\u0131tay\u0131 (Bundesgerichtshof, BGH), Alman Medeni Kanunu\u2019nun (BGB) 826. maddesi uyar\u0131nca, bir GmbH\u2019nin (Alman limited \u015firketi) genel m\u00fcd\u00fcr\u00fcne kar\u015f\u0131, kamu ahlak\u0131na ayk\u0131r\u0131 bir \u015fekilde kasten zarar verdi\u011fi gerek\u00e7esiyle tazminat davas\u0131 a\u00e7\u0131lmas\u0131n\u0131n m\u00fcmk\u00fcn olmad\u0131\u011f\u0131na h\u00fckmetmi\u015ftir.<\/p>\n

Dolayl\u0131 zarar\u0131n s\u00f6z konusu oldu\u011fu durumlarda, tazminat sorumlulu\u011fu ancak kamu ahlak\u0131na ayk\u0131r\u0131 davran\u0131\u015f\u0131n, zarar\u0131 fiilen u\u011frayan tarafa y\u00f6nelik olmas\u0131 halinde do\u011fabilir. Ancak bu ama\u00e7la, d\u0131\u015f \u00fc\u00e7\u00fcnc\u00fc taraf ile genel m\u00fcd\u00fcr aras\u0131nda, hukuki bir y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fcn ihlal edilebilece\u011fi bir t\u00fcr hukuki ili\u015fki bulunmal\u0131d\u0131r.<\/p>\n

Bir genel m\u00fcd\u00fcr, GmbH\u2019nin d\u00fczg\u00fcn bir \u015fekilde y\u00f6netilmesini sa\u011flamakla y\u00fck\u00fcml\u00fc olmakla birlikte, bu y\u00fck\u00fcml\u00fcl\u00fck GmbH\u2019ye kar\u015f\u0131d\u0131r ve d\u0131\u015far\u0131daki \u00fc\u00e7\u00fcnc\u00fc \u015fah\u0131slara kar\u015f\u0131 de\u011fildir. Dolay\u0131s\u0131yla, bir genel m\u00fcd\u00fcr, yaln\u0131zca GmbH i\u00e7indeki konumundan dolay\u0131 \u00fc\u00e7\u00fcnc\u00fc \u015fah\u0131slara kar\u015f\u0131 ki\u015fisel y\u00fck\u00fcml\u00fcl\u00fck alt\u0131na girmez.<\/p>\n

Buna g\u00f6re, Federal Y\u00fcksek Mahkeme (BGH) karar\u0131nda, bir GmbH\u2019nin yasalara uygun ve d\u00fczg\u00fcn bir \u015fekilde i\u015fletilmesini sa\u011flama y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fcn\u00fcn, yaln\u0131zca genel m\u00fcd\u00fcr ile \u015firket aras\u0131ndaki ili\u015fkide mevcut oldu\u011funu teyit etmi\u015ftir.
