Alman hukuku art\u0131k hukuki i\u015flemlere bizzat kat\u0131lan GbR ile yaln\u0131zca ortaklar aras\u0131ndaki ili\u015fkileri d\u00fczenlemeye hizmet eden GbR aras\u0131nda a\u00e7\u0131k\u00e7a ayr\u0131m yapmaktad\u0131r.<\/p>\n<p style=\"font-weight: 400;\"><u>GbR nas\u0131l i\u015fler?<\/u><\/p>\n<p style=\"font-weight: 400;\">GbR, ortaklar\u0131n belirli bir ortak amac\u0131, aralar\u0131nda kararla\u015ft\u0131r\u0131lan \u015fekilde ger\u00e7ekle\u015ftirmeyi taahh\u00fct ettikleri bir ortakl\u0131k s\u00f6zle\u015fmesi (<em>Gesellschaftsvertrag<\/em>) ile kurulur. Ortaklar\u0131n ortak iradesine g\u00f6re GbR\u2019nin hukuki i\u015flemlere kendi ad\u0131na kat\u0131lmas\u0131 \u00f6ng\u00f6r\u00fcl\u00fcyorsa ortakl\u0131k, kendi ad\u0131na hak edinebilir ve bor\u00e7 alt\u0131na girebilir.<\/p>\n<p style=\"font-weight: 400;\">Ortakl\u0131k s\u00f6zle\u015fmesi bu nedenle GbR\u2019nin hukuki ve organizasyonel yap\u0131s\u0131n\u0131n temelini olu\u015fturur. S\u00f6zle\u015fmede ortakl\u0131\u011f\u0131n amac\u0131, ortaklar\u0131n katk\u0131lar\u0131 ve kat\u0131l\u0131m oranlar\u0131, y\u00f6netim ve temsil yetkileri, k\u00e2r ve zarar\u0131n payla\u015f\u0131m\u0131, karar alma s\u00fcre\u00e7leri ile yeni bir orta\u011f\u0131n kat\u0131lmas\u0131 veya mevcut bir orta\u011f\u0131n ayr\u0131lmas\u0131n\u0131n sonu\u00e7lar\u0131 a\u00e7\u0131k bi\u00e7imde d\u00fczenlenmelidir.<\/p>\n<p style=\"font-weight: 400;\">Sermaye \u015firketleriyle kar\u015f\u0131la\u015ft\u0131r\u0131ld\u0131\u011f\u0131nda GbR, s\u00f6zle\u015fmesel d\u00fczenlemeler bak\u0131m\u0131ndan \u00f6nemli \u00f6l\u00e7\u00fcde esneklik sa\u011flar.
