Anfang 2018 ist noch unklar, ob Franchisenehmer Ausgleichsansprüche gemäß § 89b HGB geltend machen können. Nach den Gerichtsentscheidungen der letzten Jahre dürfte für die Geltendmachung von Ausgleichsansprüchen kaum noch Spielraum bestehen. So wurde im Falle einer “anonymen Massentransaktion” des Franchisenehmers ein Anspruch auf Ausgleich von vornherein verneint (BGH VII ZR 109/13). Die Entscheidung erging durch das OLG Hamm (OLG Hamm 18 U 35/13). Auch das sogenannte “Joop!” Urteil (BGH I ZR 3/09) vom 29. April 2010 zu einem Markenlizenzvertrag lässt sich auch auf Franchise-Bedingungen übertragen, sodass Schadensersatzansprüche nur dann in Betracht kommen, wenn und soweit ein Franchisenehmer über Produkte verfügt, die der Franchisegeber hergestellt bzw. geliefert hat.
Die Gerichte haben noch kein endgültiges Urteil gefällt; bislang (Stand: Anfang 2018) hat der BGH noch nicht entschieden, unter welchen Voraussetzungen (oder ob überhaupt) Franchisenehmer Anspruch auf nachvertragliche Schadensersatzansprüche haben können.
Der Ausgang dieses Falles wird interessant sein.
